Agreement
for Production of Web Site by CioppaSolutions.com
Written For ______________________________________
- Cioppa Solutions.com (Tony Cioppa), referred
to here as "CS.COM", will plan, design, code, and publish a web site
for _______________________________________, referred to in this document
as "Client", to the specifications in the SITE DESCRIPTION below. This
estimate does not include hosting and domain name registration fees.
- Site will consist of only that which is
described in the Site Description. Additional work required by Client
(such as added pages or features) will result in charges beyond the
estimate in this Agreement.
- The process for the creation of visuals,
such as graphics and page designs, consists of CS.COM providing drafts
and asking for feedback from the Client; the feedback is then used to
produce another draft. This estimate assumes that 2 rounds of this process
for each design element will suffice.
- CS.COM shall be entitled to place an unobtrusive
credit with a hypertext link ("Web Site Design by CioppaSolutions.com")
in the footer on each page of the web site. In the event that the site
is no longer maintained solely by CS.COM, this credit may be removed.
- CS.COM estimates that the cost for producing
the site described in the attached Site Description will be ____________
. If pages, graphics, or other features are added, or work beyond the
scope of this Agreement is otherwise required, costs may exceed estimate.
In this case, Client will be provided with a written estimate for the
additional work.
- Payment shall be made as follows:
- A deposit of 1/3 of estimated total, _________,
is due upon signing of this Agreement, before work begins;
- A second payment of 1/3 of the estimated
total (adjusted for changes in estimate if necessary) is due when
basic page designs (without added content) are complete and approved,
or at about the ½-finished point;
- The last 1/3 (adjusted for changes in estimate
if necessary) is due upon completion of site as described, before
site 'goes live'.
Note: Refunds shall not be given for termination of the project
at any phase unless the Client can clearly demonstrate that specified
design requirements were not met.
- If the production process takes longer
than 30 days, billing will switch to semimonthly for a prorated portion
of fees incurred, with invoices sent mid-month and at month's end.
- CS.COM will maintain the confidentiality
of Client's source materials, technical and marketing plans and all
other sensitive information.
- CS.COM and Client agree that any dispute
arising out of this Agreement shall first be resolved by mediation,
if possible.
- Client is solely responsible for the editorial
content of the material included on its website.
- Web site design and files are the property
of CS.COM; upon full payment, web site design and files become the property
of the Client. Also, two full backups of the finalized site contents
will be burned onto CD. One will be kept at CS.COM and the other will
be shipped to the Client. Additional backups after future updates have
been made may be available for a fee.
